As a corporate paralegal, you will be responsible for the efficient functioning of the Legal Department, ensuring that all administrative and organizational details are taken care of in a timely and appropriate manner. The paralegal will work closely with our In-House Legal Counsel on a variety of legal matters and projects, including drafting, revising and reviewing documents, as well as identifying, compiling and interpreting legal information. This position maintains the legal records for the company and provides high-level administrative support to Legal Counsel, as well as others in the office as required.
• Prepare corporate documents for BC and Federal corporate registries, including incorporations/organizations, name change alterations, amalgamations, dissolutions, restorations, re-organizations, continuances, and other transaction related documents
• Prepare and file documents for partnerships, limited partnerships, business names and extra-provincial registrations across Canada
• Prepare documents to change the registered and records office, effect name changes, issue and transfer shares, appoint and remove directors and officers and other basic miscellaneous resolutions
• Conduct minute book reviews and prepare documents to correct minute book deficiencies
• Prepare annual documents for BC, Federal and extra-provincial entities
• Conduct corporate searches
• Respond to daily inquiries from counsel and clients and handle day-to-day corporate matters
• Update and maintain corporate records and minute books and ensure documents comply with the applicable legislation and are entered into the database
• Draft resolutions and related documentation for complex transactions, often on a time sensitive basis
• Be prepared to take on other responsibilities as required

• Minimum of 5 -7 years of administrative/secretarial/experience in a law firm with at least 3 years of legal administrative assistant experience
• Basic knowledge of corporate structures and familiarity/experience working with corporate documents, including minute book documents and resolutions
• High level of proficiency in MS Office (Word, Excel, PowerPoint, MS Visio and Outlook)
• Excellent organizational skills with strong attention to detail
• Strong verbal and written communication skills
• Strong work ethic & self-motivated, with an ability to act independently using sound judgment and initiative
• Ability to manage multiple tasks and priorities under time constraints with ease
• Ability to maintain general record keeping and filing systems, in physical and electronic format
• The utmost of discretion and the ability to handle confidential and sensitive material in an appropriate manner
• Willingness to work on new projects and assist with other administrative matters as required

Salary is $55,000 to $75,000 depending on experience.
