?Roles & Responsibilities:-

� Responsible for filing, registering any document including forms, returns and applications by and on behalf of the company as an authorized representative

� Should also assist, participate, partner with internal and external stakeholders in areas of Corporate Social Responsibility, communication with various stakeholders, Government, Regulators, Authorities etc., Industrial and labor laws

� Manages the Secretarial Compliance /Compliance Audit

� Compliance of legal and procedural aspects under various corporate laws and acts

� Advises the company on legal and statutory matters.

� Drafting of Board/ Annual General Meeting Minutes, Directors Report, ensuring 100% Secretarial compliance.

� Advising on good governance practices and compliance of Corporate Governance norms

� Handles the promotion, formation and incorporation of companies and matters related therewith

� Acts as the custodian of corporate records, statutory books and registers

� Arranging board/general meetings/ AGM/ EGM and preparing of agendas and minutes thereof

� Responsible for drafting, review and vetting of all legal agreements of the organization related to Vendor agreement, NDAs, Client agreements, lease deeds etc.

� Assisting in drafting legal contracts and commercial agreements and ensure that contracts are in compliance with legal, regulatory and organizational policies

� Assisting in labor law compliances

Relationships with Others Jobs :

1) Works very closely with the Finance and Legal departments

2) Frequent interaction with executive management (CEO, BU heads, HR, IT etc.)

3) Your duties and responsibilities will modify/reviewed as and when required by the Management.

Secretarial Functions:-

Managing Company Secretarial and Compliances function

Conducting Shareholder, Board and other meetings as required under Companies Act involving issuance of notices, drafting agenda, recording minutes and preparing annual reports for the main and subsidiary Companies.

Legal Functions:-

Managing Company Secretarial and Compliances function

Assisting in drafting and vetting of legal and commercial documents including contracts, agreement for sale/ conveyance, lease deeds, vendor �supplier agreements , indemnities, service bonds, employee contracts, nondisclosure agreements and o
