?� Continuously monitor compliance with statutory obligations and advise management accordingly
� Prepare monthly and quarterly reports for the department for executive management meetings
� Draft and examine various contract documentation & Participation with business teams in negotiation of contracts
� Examine and review of proposed contracts with particular reference to the various commercial and business laws and internal policies
� Legal review of tenders and tender documents
� Enterprise wide contract management by standardization and centralization of the contracting process, storing of contracts in an electronic repository, tracking of contracts to monitor for key dates, terms and accessibility
� Review of IP Assets. Registration of Trademarks, Patents, Designs and Copyrights. Registration of Trademarks as Internet Domain Names
� Draft End User License Agreements. Registration of Trademarks as Internet Domain Names, Assignment Deeds, Copyright Assertion Statements, Disclaimers and Warranties. Protection of IP through licensed usage, non-disclosure agreements and legal action for illegal/improper usage
� Compliance with the requirements of the Information Technology Act, 2000 (ITA) in regard to Data Protection, etc
� Purchase, sale and leases of property, drafting of various documents such a Power of Attorney, Affidavits, Indemnities, etc., conducting of due diligence and compliance with legal requirements, including zoning regulations, for purchase, sale of and taking properties on lease. Due diligence wrt sale and purchase of immovable property
� Perform duties of the Company Secretary, maintenance of statutory records under the Companies Act, 2013 and the Rules framed thereunder, custodian of all records, convening and attending meetings of the Board and provide advice on corporate governance. Advice on compliance under the Companies Act, 1956 in relation to

� operational requirements. Corporate finance security documentation, bank guarantees, etc., drafting of agreements such as Shareholder agreements, etc. also Conducting due diligence in case of mergers/acquisitions, etc
� To Review, analyse and improve compliance with labour statutes. Provide assistance and support to the HR in drafting, reviewing employment contracts and matters arising out of employment
� Litigation Management-tracking and attending effectively to litigation cases, coordination with external counsel and advising management for settlement of cases, wherever required. Proactive coordination with internal teams for dispute resolution to avoid litigation
� Providing legal support to commercial teams on debt collection
� Provide support in the administration of central excise duties and service tax on software
� Provide support in Exim and other trade laws
� Compliance with and support on FEMA matters
� Compliance with all laws applicable to the business and Regulatory matters
� Assessing corporate finance requirements, raising of funds and negotiations with lenders, etc
� Participating in the drafting of commercial policies, Legal support to dealer channels in various functional areas
� Providing support to the Sales and Marketing Groups
� E Commerce matters
� Legal Evaluation of new proposals and initiatives
� Tracking emerging legislation likely to impact corporate working, policies, etc and participate with multidisciplinary teams in formulating appropriate responses
� Working with national and regional Trade Bodies to represent industry specific issues to Governments to seek simplification, relief and benefits
