about the job.This is an entry-level paralegal position designed for high-calibre law graduates looking to build a stellar foundation in Hong Kong capital markets. You will provide crucial support throughout the entire life cycle of Hong Kong IPO transactions.
Your key responsibilities will include:
- Assisting in legal due diligence investigations on listing applicants, including reviewing corporate documents and organizing data rooms.
- Conducting legal research on the Hong Kong Listing Rules, Companies Ordinance, and PRC regulatory frameworks.
- Drafting and proofreading sections of the prospectus, verification notes, and other transaction documents.
- Assisting with the preparation and coordination of submission materials to the Hong Kong Stock Exchange (HKEX) and the SFC.
- Managing transaction logistics, including organizing signing ceremonies, closing procedures, and post-listing compliance filings.
- Education: A Bachelor of Laws (LLB) or Master of Laws (LLM/JM) degree from a top-tier domestic (PRC) or international law school.
- Experience: This is an entry-level role. Prior internship experience in Hong Kong IPOs or capital markets within a reputable international or top-tier PRC law firm is highly preferred but not mandatory.
- Language Skills: Near-native fluency in written and spoken Mandarin and English. Exceptional drafting, translating, and proofreading skills in both languages are essential.
- Technical Skills: Proficient in legal research tools (e.g., Westlaw, LexisNexis, HKEXnews) and MS Office suite. Pass of the PRC Bar Exam (Legal Professional Qualification) is a strong advantage.
