ABOUT THE ROLE
We are seeking an outstanding, high-performing governance leader to assume the role of Vice President, Corporate Secretarial.
Reporting to senior leadership and serving as a critical partner to the Board of Directors, the incumbent will oversee the end-to-end secretarial operations, statutory compliance, and corporate governance frameworks for the Group, its operating subsidiaries and associated funds.
KEY RESPONSIBILITIES
Board & Strategic Governance: Oversee secretarial function and boardroom proceedings for the Group holding company and key operating subsidiaries, ensuring seamless board pack management, accurate minuting, and prompt execution of Board/Committee resolutions.
Group Regulatory Oversight: Drive compliance across the group with Bank Negara Malaysia (BNM) frameworks, Islamic Financial Services Act (IFSA 2013), Financial Services Act (FSA 2013), Companies Act 2016, and Bursa Malaysia Main Market Listing Requirements (if applicable).
Shariah Governance Integration: Partner with the Shariah Committee to ensure governance operations strictly adhere to BNM’s Shariah Governance Framework (SGF).
Corporate Exercises & Statutory Matters: Lead secretarial aspects of corporate exercises, annual general meetings (AGMs), statutory returns, maintenance of registers, and liaising with regulators (BNM, SSM, SC).
Advisory & Department Leadership: Provide sound governance advisory to executive leadership and manage a dedicated team of secretarial professionals, driving operational efficiency and professional excellence.
REQUIREMENTS & QUALIFICATIONS
Professional Credentials: Licensed Company Secretary under the Companies Act 2016 (MIA, MAICSA, or SSM Licensed Secretary).
Regulatory Standard: Must satisfy Bank Negara Malaysia’s criteria for key control leadership positions.
Experience: Minimum 12+ years of progressive corporate secretarial experience, with at least 5 years in a senior management capacity within a regulated financial institution
