Job Description for Company Secretary & Legal
- Position: Company Secretary & Legal_ *depending on the skill of the candidate
- Designation: Senior Manager or Assistant General Manager depending on the experience of the candidate.
- Location: Doddabalapur, Bengaluru
Job Responsibilities:
Company Secretary
- Organizing and coordinating the meeting of the Board of Directors, Annual General Meeting, Extraordinary General Meeting etc. and recording the minutes of the meeting.
- Advising the Board of Directors on Governance and Compliances under various laws and regulations.
- Ensuring secretarial compliances including filing statutory forms etc. as prescribed under various laws and regulations.
- Organizing and coordinating the meeting of the CSR committee and recording the minutes of the meeting.
- Assisting statutory audit, internal audit for secretarial and legal compliance.
Legal (Optional, depending on the skill of the candidate)
- Managing legal and compliance affairs across the company.
- Reviewing and drafting various agreements in coordination with the respective departments.
- Liaising with external lawyers and handling various legal matters.
- Ensuring effective litigation management including appearing before the courts.
- Monitoring various laws and regulations relating to the company activities.
Qualifications and experience:
- Company Secretary, Bachelor of Law
- More than 10 years’ experience as official Company Secretary & legal representative
